Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Client") and Contractor Apex Method ("we," "our," or "us") governing your access to and use of the website contractorapexmethod.com (the "Site") and all related services, including our digital marketing services for contractors (collectively, the "Services").

By accessing or using our Site or Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site or Services.

Description of Services

Contractor Apex Method provides digital marketing services designed specifically for contractors, including but not limited to:

  • •Search engine optimization (SEO) for local markets
  • •Google Maps and local listing optimization
  • •AI Overview and Answer Engine optimization
  • •Website design and development for contractors
  • •Content creation and video marketing
  • •Exclusive territory-based marketing programs

The specific scope, deliverables, and terms of any marketing engagement will be outlined in a separate service agreement or proposal provided to you upon qualification.

Territory Exclusivity

Our Apex Method System™ operates on an exclusive territory model. This means:

  • •We accept only one contractor per trade per territory. Territory boundaries are defined at our sole discretion based on market analysis and geographic factors.
  • •Submitting a territory check form does not guarantee territory availability or acceptance into our program. All applications are subject to our qualification review process.
  • •Territory exclusivity is maintained only while the client remains in good standing with an active service agreement and current payment status.
  • •We reserve the right to modify territory boundaries or definitions at any time with reasonable notice to affected clients.

Eligibility and Qualification

Our Services are designed for established contracting businesses. To be eligible for our programs, you must generally meet the following criteria:

Established Business

You must operate a legitimate, licensed contracting business with a verifiable track record.

Revenue Threshold

Our programs are typically designed for businesses generating $500K or more in annual revenue.

Operational Capacity

You must have the infrastructure, staff, and capacity to handle increased call volume and service requests.

Responsiveness

You must be able to answer inbound calls promptly and maintain basic sales follow-up processes.

We reserve the right to accept or decline any application at our sole discretion based on our assessment of fit, territory availability, and other business factors.

Performance Guarantee

Our 5X ROI money-back guarantee is subject to the following conditions:

  • •The guarantee applies only to qualified, established operators who meet our eligibility criteria and maintain an active service agreement for the full guarantee period (typically 6 months).
  • •The client must answer inbound calls promptly, maintain basic sales follow-up processes, and cooperate with our marketing strategies throughout the guarantee period.
  • •ROI is calculated based on trackable revenue directly attributable to our marketing efforts, as measured by our tracking systems and verified call recordings.
  • •If the guarantee conditions are met and the 5X ROI threshold is not achieved, we will refund our management fee (excluding ad spend and third-party costs).
  • •The specific terms of the guarantee will be outlined in your individual service agreement.

Payment Terms

Payment terms, including fees, billing cycles, and payment methods, will be specified in your individual service agreement. General payment terms include:

  • •All fees are due according to the schedule outlined in your service agreement
  • •Ad spend budgets are separate from management fees and are paid directly to advertising platforms
  • •Late payments may result in suspension of services and loss of territory exclusivity
  • •All fees are non-refundable except as expressly provided in the performance guarantee

Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and software, is the property of Contractor Apex Method or its content suppliers and is protected by applicable intellectual property laws.

The Contractor Apex Method name, logo, Apex Method System™, Apex Power System™, and all related names, logos, product and service names, designs, and slogans are trademarks of Contractor Apex Method. You may not use such marks without our prior written permission.

Marketing materials, campaigns, and strategies created as part of our Services are developed collaboratively. Ownership of such materials will be specified in your individual service agreement.

User Conduct

When using our Site and Services, you agree not to:

  • •Provide false, misleading, or inaccurate information in any form submission or communication
  • •Use the Site or Services for any unlawful purpose or in violation of any applicable laws or regulations
  • •Attempt to gain unauthorized access to any portion of the Site, other accounts, or computer systems
  • •Interfere with or disrupt the Site or servers or networks connected to the Site
  • •Scrape, copy, or reproduce any content from the Site without our express written consent
  • •Impersonate any person or entity or misrepresent your affiliation with any person or entity

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While we strive to deliver exceptional results, we do not guarantee specific outcomes. Marketing results depend on numerous factors including market conditions, competition, seasonality, client responsiveness, and other variables beyond our control.

Any testimonials, case studies, or performance metrics displayed on our Site represent individual results and are not guarantees of future performance. Individual results may vary.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONTRACTOR APEX METHOD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Contractor Apex Method and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your use of the Services caused damage to a third party.

Termination

We may terminate or suspend your access to the Site and Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site and Services will cease immediately.

Termination of marketing services will be governed by the terms of your individual service agreement, including any applicable notice periods and post-termination obligations.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Site and Services after any changes constitutes your acceptance of the new Terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
